CCI approves BCCL reorganisation into THPL on going concern basis
New Delhi: The Competition Commission of India approved the BCCL reorganisation involving the transfer of select businesses of Bennett Coleman & Company Limited to Times Horizon Private Limited on a going concern basis.
The regulator cleared the internal restructuring plan placed before it. Under the proposal, certain entities, undertakings, assets and liabilities of BCCL will move to THPL. The approval also covered related interconnected steps.
According to the official statement issued on 18 February 2026, the plan seeks to demerge specific entities, businesses, undertakings, assets and liabilities, referred to as the EIBME Business. These will shift from BCCL to THPL as a going concern.
BCCL and its group entities operate across multiple sectors. These include print and digital publishing of news, journals and books. In addition, the group runs television broadcasting, digital products and services, and radio entertainment businesses. It also has interests in music, movies, events and conferences, magazines and lifestyle segments.

The BCCL reorganisation also includes operations in real estate classifieds, brand capital, education and ed-tech, fintech, gaming and advertising. The Commission examined the scope of the transfer before granting approval.
Times Horizon Private Limited is a newly incorporated company. At present, THPL does not carry out any business activities. However, it will receive the identified businesses and assets under the approved plan.
